These conditions provide for the order of use internet resource http://uaa.ua (further - Site), which is the official and public site of "All-Ukrainian public organization "Association of Investors of Ukraine"" (further - Association).

1. Substantive Principles.

The Association provides access to legal entities and individuals (further - Second Party) to Site according to functionality, listed in article 2.1-2.3 it this Terms.

The Site may be accessed by usage of Second Party's computer device (smartphone, tablet, laptop, PC, etc.), which is connected to Internet.

Advanced usability in Site usage is given to Second Party after creating the appropriate account on the Site, as investor or expert.

Account should contain surname, name of Second Party, email address, phone number and other data, required for registration. See more in article 2.2-2.3.

Second Party is responsible for the confidentiality of his password. If Second Party learns about facts of unauthorized access to account - it is obliged to notify such circumstances to support service of the Association as soon as possible, at the address: info@uaa.ua.

2. Participants and functionality:

Access to the site is available to all sui juris persons, who are registered on the Internet, hereinafter referred to as Users, Investors, Experts.

2.1. Users - common site visitors who can view the following sections of the site: about the Association, experts, projects (in a limited mode), partners, site news. They can vote for favorite idea; can fill in the investment project questionnaire or business idea questionnaire and send it to the moderator; can register themselves as an Investor or Expert.

2.2. Investors - are persons, registered on the site as an Investor who participate in projects in tangible and intangible form. They have opportunity to view and select projects of interest to them, add them to their list of projects, can accomplish financing*** (through online payment systems or to the specified bank details).

In case of participation in project financing (startups) - Investor has access to view the progress of the project, can select main investor (if necessary), get acquainted with project experts.

Investor can participate in rating of the idea, as well as provide various suggestions and comments on their development, as well as share the project page on social networks.

The investor can apply for participation in Business projects.

The investor will have his own investment account, which can be viewed in terms of projects and payment history.

According to the results of the Investor's activity, Bonuses are accrued on his personal account. The amount of bonuses depends on the project and the type of activity of the investor.

Bonuses can be used to pay for selected services (including the services of Partners) or to finance another project (Startup).

Investor have opportunity to transfer (re-assign) the right to a share in the corporate rights of legal entities that implement Startup - projects to third parties (including Associations, companies that implement Startup projects, etc.).

Investor have the right to change his credentials (e-mail, phone, password).

2.3. Experts - are persons with special education and / or successful work experience in a specific field, registered on the website as experts and educational experts of the Council of the Association.

The Lead Expert is the authorized representative of the Investor and the Association in the implementation of the investment project, which is approved by the Expert Council of the Association.

The Lead Expert oversees the projects assigned to him. This is his main task.

The Lead Expert has access to the Study, which lists the main indicators of the project:

- total investment;

- need for investment;

- funds raised on the date;

- project implementation period (months, ie from the beginning of project financing to its completion - sale);

- planned capitalization of the project;

- actual income from the project to date;

- internal rate of profitability,%;

- the amount of deviation of actual income from the income schedule (-; +).

In Workshop Experts (Lead Experts) can create and enter data on various types of projects (Idea, Startup, Business, Asset), including:

- project description;

- data about project team: name, position, experience;

- photo and video materials, copies of documents;

- location data on the map (Google);

- terms of project financing: share in the CC (constituent capital), project support, etc.;

- financial and economic indicators of the project: schedule of project financing and schedule of project revenues (plan / fact), project implementation period, planned project capitalization, internal rate of return (IRR) (calculated automatically), risk assessment, project launch period;

Expert can share the project page on social networks.

Start page of the Working Cabinet displays a list of projects, indicating the main indicators of each project:

- total investment;

- need for investment;

- funds raised on the date;

- number of investors;

- project implementation period (number of months, ie from the beginning of project financing to its completion - sale);

- planned capitalization of the project;

- planned profit from the project for the whole period;

- actually received income from the project to date;

- internal rate of profitability,%

- the amount of deviation of actual income from the income schedule (-; +).

Expert reviews history of the project and can generate a report, post materials on the progress of the project, which are attached to a separate section - news on the progress of the project.

Expert can change his credentials (e-mail, phone, password).

3. Types of projects:

Idea - an interesting topic or conception for a project that can be implemented.

Startup - an innovative project ready for implementation (developed a detailed business plan, formed a team), which requires funding.

Business - an existing business that can be expanded or improved.

Assets - are assets that are inefficiently used by owners.

4. Other Principles.

4.1. Second Party ensures that all conditions are clear and it accepts them unconditionally and in full, without using any other conditions, withdrawals or reservations.

4.2. Further cooperation, not specified in these Terms - is possible with conclusion of separate Agreements between the Association and the Second Party.

4.3. Those conditions shall enter into force from the moment of their publication on the Site.

*** Project financing means the acquisition by an investor of right to a share in the corporate rights of legal entities, who implements investment projects.

Conditions for acquiring the right are regulated by separate public agreements for each project.
